Terms of Use

These Terms of Use (“Terms”) govern your use of the Neeos app for iPhone and iPad and the Neeos service it connects to (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are and what these Terms cover

Neeos is operated by its developer (“we”, “us”). You can reach us at jake@neeos.ai.

These Terms cover the version of Neeos available to the public, whether you install it from the App Store or as a TestFlight beta. A beta is a pre-release version: it can have bugs, and it can change or stop working before the App Store release does. Your use of TestFlight is also governed by Apple’s TestFlight terms.

2. The Service

Neeos is a personal assistant app. It keeps your notes, the documents and files you add to your Vault, and your tasks and goals in Momentum, and it gets to know you: it remembers lasting facts about you from what you tell it, and answers your questions from them and from what you have given it. It can also search the web, make images you ask for, and hold voice conversations.

The App Store version of Neeos does not include health or fitness tracking, Apple Health, connections to WHOOP, Oura or other wearables, finance features, or reading your Mail, Messages or Contacts. How Neeos handles your data is described in our Privacy Policy, which is part of how the Service works and should be read with these Terms.

3. Eligibility & your account

You must be at least 18 years old to use the Service. You create your account with Sign in with Apple. You are responsible for the security of the Apple Account and devices you use with Neeos, and for activity under your account. Tell us promptly if you believe someone else has used it.

Keep your recovery key safe. Once encryption is set up on your account, your notes, documents, chats and memories are encrypted with a key held on your devices (as the Privacy Policy describes, including what that encryption does not cover), and Neeos shows you a recovery key when you set it up. We do not have your key, so if you lose every device and your recovery key, we cannot recover your encrypted content.

4. The AI assistant

Neeos’s answers are written by AI models from OpenAI and Anthropic. Nothing is sent to them until you agree, and you can turn AI off at any time in Settings → AI data sharing; Notes, the Vault and Momentum keep working without it. What is sent, and how those companies handle it, is set out in the Privacy Policy.

• AI can be wrong. Answers, summaries and the facts Neeos remembers about you can be incomplete or inaccurate. Check anything important before you rely on it. You can see, edit or delete every fact Neeos remembers on the You screen; a deleted fact stays recoverable until you delete your account, as the Privacy Policy explains.
• Not professional advice. Neeos is not a medical device and does not provide medical, legal, financial or other professional advice, diagnosis or treatment. Do not rely on it for those decisions; consult a qualified professional.
• Things you ask it to do. When you ask, the assistant can create, change or delete items in your account, such as notes, tasks or memories. Review what it did, especially before you act on it.
• Web content. Answers can draw on web pages and search results that we do not control and are not responsible for, and that may be unfiltered or inaccurate.
• Reporting. If a reply is inappropriate, you can report it from the reply’s menu in the app.

5. Free plan, subscription & billing

Every part of the Neeos app is available on the free plan except Live voice conversations, which need a subscription. The free plan includes 10 AI messages a day, counted on a rolling basis rather than resetting at midnight, and 1 GB of document storage.

Neeos Monthly is an auto-renewing subscription, sold through the App Store, that adds:

• a much higher daily AI limit;
• Live voice conversations; and
• 10 GB of document storage.

Every account, including a subscribed one, is subject to limits on how much AI it can use in a short period and over a rolling 30 days, to keep the Service available and prevent abuse. As an account uses more of its monthly allowance, Neeos may ease off some features, such as web search, until use comes back down. A subscription raises the daily limit; it does not remove these limits.

Price and renewal. Neeos Monthly is $19.99 per month in the United States; the price in your country is the one the App Store shows before you confirm. Payment is charged to your Apple Account when you confirm the purchase. The subscription renews automatically each month unless you turn off auto-renew at least 24 hours before the end of the current period, and your Apple Account is charged for the renewal within the 24 hours before the current period ends. If the price changes, Apple notifies subscribers under its own rules.

Managing and cancelling. You can manage or cancel your subscription in your Apple Account’s subscription settings, or from Settings → Subscription → Manage Subscription in Neeos. Cancelling stops the next renewal; your plan stays active until the end of the period you have paid for. Deleting your Neeos account does not cancel an App Store subscription, so cancel it first. If you reinstall Neeos or use a new device, “Restore purchases” in Settings → Subscription recovers a subscription you already hold.

Refunds. Apple processes all App Store payments, and we never receive your payment details. Refund requests for App Store purchases are handled by Apple under its own policies, at reportaproblem.apple.com.

6. Acceptable use

You agree not to misuse the Service, including by:

• attempting to access an account or data that is not yours;
• interfering with, overloading or disrupting the Service, or getting around its usage limits;
• reverse-engineering it, except as the law permits;
• using it to break any law, to infringe or violate anyone else’s rights, or to harass or harm anyone; or
• using it to create content that the AI providers’ usage policies prohibit, such as content that sexually exploits children or helps someone cause serious harm.

7. Your content

You keep ownership of everything you put into Neeos and everything it makes for you. You give us only the limited permission needed to store, process, sync and display it, and to send the parts needed to answer a message to our AI providers, in order to run the Service for you, as described in the Privacy Policy. We do not sell your data, use it for advertising, or use it to train AI models. You are responsible for having the right to put your content into Neeos. You can export a copy of your data at any time from Settings → Export All My Data.

8. Other companies’ services

Neeos relies on services from other companies, including Apple (Sign in with Apple, the App Store, notifications, and Siri and Shortcuts if you use them), OpenAI and Anthropic. Your use of Apple’s services is also governed by Apple’s own terms. Links and web pages you open from Neeos belong to their owners, and we are not responsible for them.

If your account connected WHOOP or Oura to an earlier test version of Neeos, that connection was made at your direction, through each provider’s official API and subject to that provider’s own terms. You can revoke it in your WHOOP or Oura account, or ask us at jake@neeos.ai to disconnect it; the Privacy Policy explains what happens to data already imported.

9. The App Store

If you got Neeos from the App Store, your license to use the app is granted by us under Apple’s standard Licensed Application End User License Agreement. These Terms add to that agreement and cover the Neeos service; if the two conflict about your license to the app itself, Apple’s agreement applies. Apple is not a party to these Terms and is not responsible for the Service or its content.

10. Availability & changes to the Service

We work to keep the Service running, but it may change, be interrupted, or be discontinued. We may add, change or remove features, and change the free plan’s limits. If a change takes away something a subscription includes, the in-app description of the subscription will be updated to match.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that AI answers or other data will always be accurate or complete. Some jurisdictions do not allow these exclusions, so they may not all apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Neeos and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of or inability to use the Service. Nothing in these Terms limits liability that cannot be limited by law.

13. Ending your use

You may stop using the Service at any time, and you can delete your account from inside the app in Settings → Delete account. We may suspend or end your access if you break these Terms or to protect the Service or other people. When your account ends, your right to use the Service ends, and your data is handled as the Privacy Policy describes.

14. Changes to these Terms

We may update these Terms. Material changes will be reflected by updating the “Last updated” date above, and continuing to use the Service after a change means you accept the updated Terms.
